Beat first 5 ingredients in large bowl with mixer until blended.
Pour into greased and floured 3-L fluted tube pan or 10-inch tube pan.
Bake 45 to 55 min. or until toothpick inserted near centre comes out clean. Cool cake in pan 10 min.; loosen from sides of pan. Invert cake onto wire rack; carefully remove pan. Cool cake completely.
Microwave Cool Whip and chocolate in microwaveable bowl on MEDIUM 2 to 2-1/2 min. or until chocolate is completely melted and mixture is well blended, stirring after each minute. Let stand 15 min.
Spoon ganache over cake. Let stand 15 min. or until ganache is firm before serving.
